Welcome to RenewCEU. By accessing or using our platform, you agree to these Terms of Service. Please read carefully.
1. ACCEPTANCE OF TERMS
By creating an account, purchasing courses, or using RenewCEU, you agree to:
- These Terms of Service
- Our Privacy Policy
- All applicable laws and regulations
If you do not agree, you may not use the platform.
2. ELIGIBILITY
You must:
- Be at least 18 years of age
- Be a licensed or aspiring healthcare professional
- Provide accurate and complete information
- Maintain the security of your account credentials
3. ACCOUNT REQUIREMENTS
Account Sharing Prohibited:
- Each account is for individual use only
- Sharing login credentials violates these Terms
- CEU certificates are issued to individual users and may not be transferred
- Violations may result in account suspension
Account Security:
- You are responsible for all activity under your account
- Notify us immediately of unauthorized access
- Use a strong, unique password
4. PLATFORM DESCRIPTION
RenewCEU is a Marketplace:
- We connect students with independent course providers
- Course providers are third-party professionals, not RenewCEU employees
- RenewCEU does not create, author, or guarantee course content
- Providers are solely responsible for course accuracy and quality
CEU Compliance:
- Students are responsible for verifying CEU acceptance with their licensing board
- RenewCEU does not guarantee that any course will be accepted by any specific licensing authority
- Provider credentials are displayed for reference but should be independently verified
- Completion certificates document course completion only, not licensing board approval
5. PURCHASES & PAYMENTS
Payment Processing:
- All in-app purchases are processed through Google Play Billing (Android)
- Prices displayed in USD
- Payment is required before accessing course content
- All sales are final subject to our refund policy
Refund Policy:
All Refunds — Google Play Billing:
All purchases made through RenewCEU are processed via Google Play Billing. Refund requests must be submitted directly through Google Play. RenewCEU does not process refunds directly.
How to Request a Refund:
- Go to play.google.com/store/account/orderhistory
- Find your purchase and select "Request a refund"
- Follow Google's instructions
RenewCEU's Commitment to Customer Satisfaction:
If you are unsatisfied with a course, contact us at support@renewceu.com. While we cannot process refunds directly, we will:
- Review your concern promptly
- Advocate on your behalf with Google Play where appropriate
- Consider goodwill gestures such as course credits for future purchases
How We Assess Refund Requests:
When evaluating concerns, RenewCEU considers:
- Course completion percentage at time of request
- Whether a completion certificate has been downloaded
- History of refund requests on the account
- Nature of the complaint
Refund Abuse:
Patterns of excessive refund requests, completing courses then requesting refunds, or fraudulent claims may result in account suspension.

6. COURSE ACCESS & USE
License Granted:
- Personal, non-transferable, non-exclusive license to access purchased courses
- Access limited to enrolled individual only
Prohibited Actions:
- Downloading, recording, or screen-capturing course materials (except where explicitly permitted)
- Sharing course access with others
- Redistributing course content in any form
- Using content for commercial purposes without provider permission
- Reverse engineering or extracting course materials
Course Availability:
- Purchased courses generally available indefinitely while platform operates
- RenewCEU reserves right to remove courses for legal violations, policy violations, or platform closure
- Provider cannot remove courses with active enrollments without advance notice (typically 60-90 days) and administrative approval
- Required notice period determined by platform based on enrollment count and course status
- Emergency removals may be required for legal issues, safety concerns, or policy violations without advance notice
- Platform will make reasonable efforts to provide alternative access or refunds if courses are removed
Video Content:
- Course videos may be hosted on YouTube or RenewCEU servers
- Offline viewing depends on hosting platform policies (e.g., YouTube Premium)
- Recording or redistribution of videos is strictly prohibited
7. PROVIDER TERMS
For Healthcare Providers Creating Courses:
Content Ownership & License:
- Providers retain ownership of their course content
- Providers grant RenewCEU a non-exclusive license to distribute and display courses
- Providers may not remove courses with active student enrollments without proper notice and approval
Credential Requirements:
- Providers must maintain valid, active professional licenses
- Provider credentials displayed to students
- If provider credentials expire or are suspended, RenewCEU will follow applicable licensing board requirements regarding course status
Revenue & Payouts:
- Commission Structure: Platform commission agreed upon at course approval (typically 15-25% of course price)
- App Store Fees: Google Play deducts their fee first (currently 15% for revenue under $1M annually, 30% above $1M; subject to Google's policy changes)
- Calculation Example:
- Student purchases $100 course via Google Play
- Google takes 15% ($15) from gross sale
- Net revenue after app store fee: $85
- Platform commission: 20% of NET revenue = $17.00
- Provider receives: $85 - $17 = $68.00
- Commission percentage applies to net revenue (after app store fees), not gross price
- Specific commission rate displayed to provider before course approval
- Commission rates may vary by provider, course type, promotional agreements, or business relationship
- Payment Hold: Typically 30-60 days after purchase (waiting for Google Play payment cycle), may vary by provider or risk assessment
- Payment Schedule: Monthly payouts processed approximately 5 days after receiving Google Play payments
- Payout Method: RenewCEU pays providers via Bank Transfer (ACH) or PayPal. Providers must provide verified bank account information (routing and account number) or a verified PayPal email address before payouts can be processed. Providers are responsible for ensuring their payment information is accurate and up to date.
- No minimum payout amount currently (subject to change with notice)
- Refunded Courses: If student receives refund after provider has been paid, amount deducted from provider's next payout
Commission Rate Changes:
- Platform reserves right to adjust commission structure with 60 days advance notice
- Changes to commission rates do not affect courses already approved and active
- New commission rates apply to newly approved courses only
- Google Play fee changes pass through to providers immediately as they occur
- Platform will communicate fee structure changes as soon as reasonably possible
Tax Reporting & W-9 Requirements:
- W-9 Submission Required: Providers must submit IRS Form W-9 (or W-8 for non-US providers) before receiving payouts
- Information Collected: Legal name, business name (if applicable), tax classification, SSN or EIN, business address
- 1099-NEC Reporting: If you earn $600 or more in a calendar year, RenewCEU will issue Form 1099-NEC by January 31 of the following year
- Earnings Calculation for Tax Purposes: Based on payment date (when you receive money), not purchase date
- Provider Responsibilities:
- Report all earnings on your tax return (Form 1040 Schedule C or equivalent)
- Pay applicable self-employment taxes
- Make quarterly estimated tax payments if required
- Maintain your own financial records
- Update W-9 information if your tax status changes
- Failure to provide W-9 may result in payout delays or IRS backup withholding (24%)
- RenewCEU is required by law to collect and report this tax information to the IRS
- Tax information stored securely and used only for IRS compliance purposes
Provider Responsibilities:
- Ensure course content is accurate, legal, and appropriate
- Maintain professional liability insurance (recommended)
- Respond to student questions/issues in reasonable timeframe
- Update courses as needed for accuracy
- Comply with all applicable CEU regulations
- Maintain valid professional credentials throughout course availability
8. INTELLECTUAL PROPERTY
RenewCEU Platform:
- Platform code, design, logo, and trademarks owned by RenewCEU
- May not be copied, modified, or distributed without permission
User-Generated Content (Reviews, Ratings):
- By submitting reviews or ratings, you grant RenewCEU perpetual, royalty-free license to use
- We may display, modify, or remove reviews at our discretion
- Reviews may be used in marketing materials
- Reviews must be honest, not defamatory, and comply with our guidelines
9. PROHIBITED CONDUCT
Users may not:
- Violate any laws or regulations
- Impersonate others or provide false information
- Harass, threaten, or abuse other users or staff
- Post spam, malware, or malicious content
- Attempt to hack, disrupt, or compromise platform security
- Use platform for unauthorized commercial purposes
- Create multiple accounts to evade bans or abuse refund policy
- Submit fraudulent CEU claims or certificates
- Provide false tax information or W-9 data
10. ACCOUNT TERMINATION
RenewCEU may suspend or terminate accounts for:
- Violation of these Terms
- Fraudulent activity
- Abusive behavior
- Account sharing
- Repeated refund abuse
- Provider credential violations
- False tax information or W-9 fraud
Termination Process:
- First violation: Warning (in most cases, except serious violations)
- Repeated violations: Account suspension or permanent ban
- Serious violations: Immediate termination without warning
- Users may appeal termination within a reasonable timeframe (typically 30 days)
- Late appeals may be considered on case-by-case basis at platform discretion
Upon Termination:
- Access to courses revoked
- No refunds for terminated accounts due to Terms violations
- Outstanding provider payouts may be withheld pending review
- Tax reporting obligations continue (1099s issued for all earnings prior to termination)
11. DISCLAIMERS & LIMITATION OF LIABILITY
NO WARRANTIES:
THE PLATFORM IS PROVIDED "AS-IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. RENEWCEU DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Provider Content:
- RenewCEU is not responsible for accuracy, quality, or completeness of provider course content
- Providers are independent contractors, not RenewCEU employees
- Students use courses at their own risk
CEU Acceptance:
- RenewCEU does not guarantee licensing board acceptance
- Students must verify CEU eligibility independently
- Provider credentials displayed for reference only
LIMITATION OF LIABILITY:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RENEWCEU'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC COURSE GIVING RISE TO THE CLAIM.
RENEWCEU IS NOT LIABLE FOR:
- Indirect, incidental, consequential, or punitive damages
- Lost profits, data, or opportunities
- Licensing board rejections or professional consequences
- Provider course content errors or omissions
- Technical issues, outages, or data loss
- Third-party actions (providers, payment processors, app stores, etc.)
- Tax consequences or penalties resulting from provider earnings
- Payment delays due to Google Play processing cycles
12. INDEMNIFICATION
Providers Indemnify RenewCEU:
Providers agree to defend, indemnify, and hold harmless RenewCEU from claims arising from:
- Their course content
- Credential misrepresentations
- Violations of these Terms
- Infringement of third-party rights
- Tax fraud or false W-9 information
- Failure to report earnings on tax returns
Students Indemnify RenewCEU:
Students agree to indemnify RenewCEU from claims arising from:
- Their use of the platform
- Violations of these Terms
- Misuse of course materials
- Refund disputes with Google Play
13. DISPUTE RESOLUTION
BINDING ARBITRATION:
Any dispute arising from these Terms or use of the platform shall be resolved through binding arbitration, not court litigation.
Arbitration Terms:
- Governed by Federal Arbitration Act
- Administered by American Arbitration Association (AAA)
- Individual disputes only (no class actions)
- Arbitrator's decision is final and binding
- Location: Virginia or remote/online arbitration
Exceptions to Arbitration:
- Small claims court (if dispute qualifies)
- Injunctive relief for intellectual property violations
- Emergency relief to prevent irreparable harm
CLASS ACTION WAIVER:
You agree to bring claims individually only, not as part of any class, consolidated, or representative action.
30-Day Opt-Out:
You may opt out of arbitration by emailing support@renewceu.com within 30 days of account creation. Opt-out waives arbitration requirement but not other Terms.
14. GOVERNING LAW
These Terms governed by laws of Virginia, USA, without regard to conflict of law principles.
15. CHANGES TO TERMS
We may modify these Terms at any time. Changes will be posted with a new "Last Updated" date.
Notice of Changes:
- Material changes: Email notification 30 days before changes take effect
- Minor changes: May take effect immediately upon posting with email notification
- Platform determines whether a change is material based on impact to user rights or obligations
- Continued use after changes take effect constitutes acceptance
- If you disagree with changes, you must stop using the platform before effective date
Material changes typically include:
- Significant changes to refund policy
- Changes to liability limitations
- Changes to dispute resolution process
- Major changes to fee structure
Minor changes typically include:
- Clarifications of existing terms
- Updates to contact information
- Administrative updates
- Updates reflecting platform feature additions
16. SEVERABILITY
If any provision is found unenforceable, the remaining provisions remain in full effect.
17. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, constitute the entire agreement between you and RenewCEU.
